Jennifer counsels issuers and underwriters as lead counsel in a broad range of transactions, including public and private debt and equity offerings, mergers and acquisitions, and capital planning and formation. She also represents private fund investors specializing in the banking space. Jennifer was recognized as a Leading Lawyer in both Corporate Finance Law and Securities & Venture Finance Law in 2016 to 2023. In 2018, Jennifer was featured as one of Chicago’s Notable Women Lawyers by Crain’s Custom Media. Jennifer was also selected by her peers for inclusion in The Best Lawyers in America (2022 Edition) in the field of Banking and Finance Law and Financial Services Regulation Law.
Jennifer also counsels public companies on their reporting and disclosure obligations under the federal securities laws, as well as on a variety of corporate governance matters, including compliance with the Sarbanes-Oxley Act, the Dodd- Frank Act and stock exchange requirements, creation and implementation of corporate compliance programs, and shareholder and board of directors matters.
Jennifer devotes significant time to firm management matters. She is currently Chair of the firm’s Corporate Practice Group and a member of its Board of Directors. She is also a member of the firm’s Compensation Committee and Chair of its Sarbanes-Oxley Act Committee. Previously, Jennifer served on the firm’s Associate Evaluation Committee for over 10 years and its Associate Advisory Committee for five years, and is former coordinator of the firm’s Corporate Associate Development program and a past Co-Chair of its summer associate program.
Prior to graduating from law school, Jennifer enjoyed a career in the brokerage industry, working as a securities broker with a Wall Street firm and a Chicagoland community bank, as well as a sales representative for a regional sponsor of unit investment trusts, holding both the FINRA Series 7 and Series 6 licenses.
